Any problem with running this gearbox upside down other than replacing the bottom bearings with sealed ones?

By sealed, do you mean an external seal ? On the outboard side of the shaft ?

Wouldn't it have one anyway ?
Measure twice, cut once, curse, repeat.

Yes it would have an external seal, i was thinking more about the end bearings. If they were not seal bearing then i would have to have sealed bearings.
